These Terms of Service ("Terms") govern your use of the website at promptxchange.io and the software products operated by Prompt Xchange LLC, doing business as PromptXchange Labs ("PromptXchange Labs," "we," "us"). By using our website or apps, you agree to these Terms.
You may use the website and apps only in compliance with these Terms and all applicable laws. You are responsible for your use of the products and for any content you submit.
The promptxchange.io website and our general-audience utility apps (including BestSyncTime and Curious Units) are intended for users who can form a binding contract under applicable law and are not directed to children. Our learning app IQnition has its own eligibility rules in the IQnition Terms.
Some apps are free and supported by advertising. By using them, you understand that ads will be shown and that advertising partners may process limited data as described in our Privacy Notice.
The website, apps, and their software, design, and content we provide are owned by Prompt Xchange LLC or its licensors and protected by law. The names "PromptXchange Labs," "IQnition," "BestSyncTime," and "Curious Units," and related branding, may not be used without our written permission. Any content you submit remains yours; you grant us the permissions needed to operate the products for you.
Our products may link to or integrate third-party services, including app stores, ad networks, and analytics providers, which have their own terms and privacy notices. We are not responsible for services we do not control.
We may add, modify, limit, suspend, or discontinue features, or release beta features that may change or be removed. We'll provide reasonable notice where a change materially reduces a paid feature, unless urgent circumstances make that impracticable.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. MANDATORY CONSUMER RIGHTS REMAIN UNAFFECTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, PROMPT XCHANGE LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PRODUCTS. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR US$100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
To the extent permitted by law, you agree to indemnify and hold harmless Prompt Xchange LLC and its officers, employees, and agents from third-party claims arising from your unlawful content, your material violation of these Terms, or your infringement of another's rights.
You may stop using the products at any time. We may suspend or terminate access if you violate these Terms, create a security or legal risk, or expose us or others to liability. Provisions that by their nature should survive — including ownership, disclaimers, limitations, and lawful retention — survive termination.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Nothing in these Terms limits rights that cannot be waived under the law of your residence.
We may revise these Terms to reflect changes in our products, the law, or our operations. We'll post the updated version with a new "Last updated" date. Continued use after changes take effect means you accept the revised Terms.
